  2. Liability Protection: If an accident happens on the property (for example, a tenant injury), your personal assets are shielded—the LLC, not you, is the owner.

  3. Estate Planning: In many countries, inheritance laws can complicate ownership transfer. With an LLC, shares can be transferred more smoothly to heirs or partners.

  4. Tax Efficiency: In some cases, structuring ownership through an LLC can create tax advantages when combined with professional advice from accountants or attorneys.

Understanding FIRPTA

When foreign owners sell U.S. real estate, they’re subject to FIRPTA—the Foreign Investment in Real Property Tax Act. FIRPTA requires that 15% of the sales price be withheld at closing to cover potential U.S. tax obligations. This isn’t optional—it’s federal law.

  • Example: Sell a property for $500,000, and $75,000 is withheld at closing under FIRPTA.

  • After filing U.S. tax returns, if your actual tax liability is less, you can apply for a refund—but the cash flow impact can be significant.
